Vizaibil LLC Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of the websites, applications, products, APIs, software, portals, and services provided by Vizaibil LLC ("Vizaibil").
By accessing or using the Services, you agree to be bound by these Terms.
2. Eligibility
You must be at least 18 years old and capable of entering into legally binding agreements.
3. Accounts and Registration
Users must:
- Provide accurate information
- Maintain confidentiality of credentials
- Promptly notify Vizaibil of unauthorized access
Users are responsible for all activities occurring under their accounts.
4. Services
Services may include:
- Project management
- Task management
- Workflow automation
- AI-powered productivity tools
- Reporting and analytics
- Invoicing and billing
- Recruiting and applicant management
- Integrations with third-party systems
Vizaibil may modify, suspend, or discontinue Services at any time.
5. Subscription Plans
Vizaibil may offer:
- Free plans
- Paid subscriptions
- Enterprise plans
Subscriptions automatically renew unless cancelled before renewal.
6. Fees and Payments
Customer agrees to pay all fees when due.
Late payments may result in:
- Suspension
- Restricted access
- Termination
Customer is responsible for taxes except taxes based on Vizaibil's income.
7. Customer Data Ownership
Customer retains ownership of all Customer Data.
Customer Data includes:
- Files
- Documents
- Projects
- Tasks
- Notes
- Timesheets
- Invoices
- Customer records
- Employee information
8. License Granted to Vizaibil
Customer grants Vizaibil a limited, worldwide, non-exclusive license to host, store, process, transmit, analyze, display, backup, and otherwise use Customer Data solely as necessary to provide the Services.
9. Customer Responsibilities
Customer represents and warrants that:
- Customer owns or controls all uploaded data
- Customer has authority to provide employee data
- Customer has authority to provide customer data
- Customer will comply with applicable laws
10. Artificial Intelligence Features
Services may utilize artificial intelligence technologies.
AI-generated outputs:
- May contain inaccuracies
- Are provided for informational purposes
- Should be independently reviewed
Customer remains solely responsible for decisions made using AI-generated outputs.
11. Third-Party Services
Services may integrate with:
- Microsoft 365
- Google Workspace
- Salesforce
- HubSpot
- Jira
- Slack
- Other providers
Vizaibil is not responsible for third-party products or services.
12. Acceptable Use
Users shall not:
- Violate laws
- Upload malicious code
- Reverse engineer Services
- Access systems without authorization
- Interfere with platform operations
- Circumvent security measures
13. Intellectual Property
Vizaibil retains all right, title, and interest in:
- Software
- Source code
- Documentation
- Analytics
- Designs
- Branding
- Trademarks
- Methodologies
14. Confidentiality
Each party shall protect confidential information using reasonable safeguards.
15. Suspension and Termination
Vizaibil may suspend or terminate access for:
- Nonpayment
- Security risks
- Violation of these Terms
- Legal requirements
16. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
VIZAIBIL DISCLAIMS ALL WARRANTIES INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
VIZAIBIL SHALL NOT BE LIABLE FOR:
- INDIRECT DAMAGES
- INCIDENTAL DAMAGES
- CONSEQUENTIAL DAMAGES
- SPECIAL DAMAGES
- PUNITIVE DAMAGES
- LOST PROFITS
- LOST REVENUE
- LOST DATA
VIZAIBIL'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) $100 OR (B) FEES PAID TO VIZAIBIL DURING THE PRECEDING 12 MONTHS.
18. Indemnification
Customer agrees to defend, indemnify, and hold harmless Vizaibil and its officers, employees, contractors, and affiliates from claims arising from:
- Customer Data
- Customer misuse
- Violations of law
- Violations of these Terms
19. Force Majeure
Neither party shall be liable for delays caused by events beyond reasonable control.
20. Governing Law
These Terms are governed by Illinois law without regard to conflict of law principles.
21. Venue
Exclusive venue shall be located in Cook County, Illinois.
22. Enterprise Agreements
If Customer has entered into a separately negotiated written agreement with Vizaibil, that agreement shall control to the extent of any conflict.
23. Changes to Terms
Vizaibil may update these Terms at any time by posting revised Terms.
